Welcome to BeDebtFree (“we,” “our,” “us,” or the “Service”), a product of Clarke Ventures LLC. By accessing or using our website at https://www.bedebtfree.co (“Website”) or our software application (“Application”), you agree to be bound by these Terms and Conditions (“Terms”). If you do not agree with these Terms, please do not use our Service.

1. Acceptance of Terms

By creating an account or using the Service, you confirm that you are at least 18 years old and have the legal capacity to enter into a binding agreement. Your continued use of the Service constitutes acceptance of these Terms and any future modifications.

2. Description of Service

BeDebtFree is a household debt planning and management software-as-a-service (SaaS) application that helps users:

Track and organize their debts in one place
Create personalized debt payoff plans using proven strategies (avalanche, snowball, or custom methods)
Calculate their debt-free date
Visualize progress and track payments
Receive insights and recommendations to optimize debt repayment

The Service is intended for informational and planning purposes only. BeDebtFree does not provide financial advice, credit counseling, debt settlement, or debt consolidation services.

3. Account Registration

To use certain features of the Service, you must create an account. You agree to:

Provide accurate, current, and complete information during registration
Maintain and update your information to keep it accurate
Keep your login credentials confidential and secure
Notify us immediately of any unauthorized access to your account
Accept responsibility for all activities that occur under your account

We reserve the right to suspend or terminate accounts that violate these Terms or engage in fraudulent activity.

4. Subscription and Payments

4.1 Subscription Plans

BeDebtFree offers subscription-based access to the Service. Subscription plans and pricing are displayed on our Website and within the Application.

4.2 Payment Processing

Payments are processed securely through Stripe, our third-party payment processor. By subscribing, you authorize us to charge your designated payment method for the subscription fees.

4.3 Automatic Renewal

Subscriptions automatically renew at the end of each billing period (monthly or annually) unless canceled before the renewal date. Renewal reminder notifications are sent 7 days before your subscription renews.

4.4 Price Changes

We reserve the right to change subscription prices. Any price changes will be communicated to you in advance and will take effect at the start of your next billing period.

5. Cancellation Policy

You may cancel your subscription at any time before your next renewal date. To cancel:

Within the Application: Navigate to your account settings and select the cancellation option
By Email: Contact us at dev@bedebtfree.co before your renewal date

Upon cancellation:

Your subscription will remain active until the end of your current billing period
You will retain access to the Service until your subscription expires
No further charges will be made to your payment method
Your data will be retained for 30 days after subscription expiration, after which it may be deleted

6. Refund Policy

We offer refunds under the following conditions:

30-Day Money-Back Guarantee: New subscribers may request a full refund within 30 days of their initial subscription purchase for both monthly and annual plans
Refund Requests: To request a refund, contact us at dev@bedebtfree.co with your account email and reason for the request
Processing Time: Approved refunds are processed within 5-10 business days and returned to the original payment method

Refunds are not available for:

Subscription renewals (cancel before renewal to avoid charges)
Accounts terminated for Terms violations
Requests made more than 30 days after the initial purchase

7. Acceptable Use

You agree not to:

Use the Service for any unlawful purpose or in violation of any applicable laws
Attempt to gain unauthorized access to the Service, other accounts, or our systems
Interfere with or disrupt the Service or servers connected to it
Upload or transmit viruses, malware, or other harmful code
Scrape, data mine, or use automated systems to access the Service without permission
Impersonate any person or entity or misrepresent your affiliation
Use the Service to harm, threaten, or harass others
Reverse engineer, decompile, or attempt to extract the source code of the Application

8. Intellectual Property

All content, features, and functionality of the Service, including but not limited to text, graphics, logos, icons, images, software, and design, are the exclusive property of Clarke Ventures LLC or its licensors and are protected by copyright, trademark, and other intellectual property laws.

You are granted a limited, non-exclusive, non-transferable license to access and use the Service for personal, non-commercial purposes in accordance with these Terms.

9. User Data and Privacy

Your privacy is important to us. Our collection, use, and protection of your personal information is governed by our Privacy Policy. By using the Service, you consent to our data practices as described in the Privacy Policy.

You retain ownership of any financial data you input into the Service. We do not sell your personal financial information to third parties.

BeDebtFree is not a financial advisor, credit counselor, or debt management company. The Service provides tools and calculations to help you plan and track your debt repayment. The information provided is for educational and planning purposes only.

We do not guarantee any specific financial outcomes
The debt-free date calculations are estimates based on the information you provide
You are solely responsible for your financial decisions
We recommend consulting with a qualified financial professional for personalized advice
Past performance or projected results do not guarantee future outcomes

11. Third-Party Services

The Service may integrate with third-party services (such as bank connections through Plaid). Your use of third-party services is subject to their respective terms and privacy policies. We are not responsible for the practices of third-party service providers.

12. Disclaimer of Warranties

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that:

The Service will be uninterrupted, secure, or error-free
Results obtained from the Service will be accurate or reliable
Any defects in the Service will be corrected

13. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, CLARKE VENTURES LLC AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, OR GOODWILL, ARISING FROM OR RELATED TO YOUR USE OF THE SERVICE.

OUR TOTAL LIABILITY FOR ANY CLAIMS ARISING FROM OR RELATED TO THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID TO US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

Some jurisdictions do not allow the exclusion or limitation of certain damages, so some of the above limitations may not apply to you.

14. Indemnification

You agree to indemnify, defend, and hold harmless Clarke Ventures LLC and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, costs, or expenses (including reasonable attorneys’ fees) arising from:

Your use of the Service
Your violation of these Terms
Your violation of any third-party rights
Any content you submit to the Service

15. Modifications to Service and Terms

We reserve the right to modify, suspend, or discontinue the Service (or any part thereof) at any time with or without notice. We may also update these Terms from time to time. Material changes will be communicated via email or notice within the Application. Your continued use of the Service after changes become effective constitutes acceptance of the revised Terms.

16. Termination

We may terminate or suspend your access to the Service immediately, without prior notice, for any reason, including if you breach these Terms. Upon termination:

Your right to use the Service will cease immediately
We may delete your account and data (subject to our data retention policies)
Provisions of these Terms that should survive termination will remain in effect

17. Governing Law and Dispute Resolution

These Terms are governed by and construed in accordance with the laws of the State of New Jersey, United States, without regard to conflict of law principles.

Any disputes arising from or relating to these Terms or the Service shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association. The arbitration shall take place in Jersey City, New Jersey, and the decision of the arbitrator shall be final and binding.

You agree to waive any right to participate in a class action lawsuit or class-wide arbitration against Clarke Ventures LLC.

18. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.

19. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Clarke Ventures LLC regarding the Service and supersede all prior agreements and understandings.
